KEMIMOTO, a brand with outdoor enthusiasm, is proud to offer the Membership Program.
1.Welcome to KEMIMOTO Membership Program
In the Program, Members earn Points for buying KEMIMOTO products on-line at https://www.kemimoto.com(collectively, ”Website”), for joining routine and new activities, as well as for sharing us to your friends or becoming our brand ambassador. There is no membership or other fee to join the Program.
2.Who Can Join?
The Program is available to legal residents of the United States and Canada who are 18 years (or age of majority in their state/province of residence, whichever is greater) or older. Before joining and/or participating in the Program, you are strongly advised to carefully review these Terms.
3.How To Join
You may register for the KEMIMOTO Membership Program at the Website.
1) Create an account with your first and last name, e-mail address and a password.
2) Check the box that you have read and agree to these KEMIMOTO Membership Terms.
P.S. Your online KEMIMOTO Membership account will show your Activity History, Membership Points earned, available Benefits and Rewards (see below). It is your sole responsibility to assure that your account information is current and otherwise accurate, updating such information, as necessary. It is also your sole responsibility to immediately inform us of any suspected unauthorized activity in your account. **Any dispute as to ownership of account will be resolved by KEMIMOTO based on its determination of the authorized account holder of this e-mail address.
4.Earning KEMIMOTO Membership Points Via Purchase
For each dollar spent on merchandise purchases at the website, you will receive one(1) KEMIMOTO Membership Point.
Please allow 1 - 10 days for KEMIMOTO Membership Points to appear in your online KEMIMOTO Membership account. To expedite the time between purchase and KEMIMOTO Membership Points being reflected in your account, when shopping online, sign in to your online KEMIMOTO Membership account before completing your purchase.
In calculating KEMIMOTO Membership Points earned, only the purchase price of merchandise will be used. Taxes, shipping charges and other fees will not be counted.
If merchandise is later returned for a refund (full or partial), any KEMIMOTO Membership Points previously earned will be forfeited and the Member’s online KEMIMOTO Membership account adjusted accordingly. Please allow 1-10 days for this adjustment to be reflected in your online KEMIMOTO Membership account.
If merchandise is later exchanged for another piece of merchandise, any KEMIMOTO Membership Points previously earned will be adjusted to reflect the KEMIMOTO Membership Points that would have been earned if the merchandise received via exchange was originally purchased and the Member’s account adjusted accordingly. Please allow 1-10 days for this adjustment to be reflected in your online KEMIMOTO Membership account.
No KEMIMOTO Membership Points will be earned on the purchase of The KEMIMOTO - branded items sold at wholesalers or at third party retailers.
5.Earning KEMIMOTO Membership Points Via Routine Mission Certain activities other than merchandise purchases will result in earning KEMIMOTO Membership Points:

Restrictions are provided for illustrative purposes only. KEMIMOTO reserves the right to condition award of KEMIMOTO Points upon Member engaging in activity subject to additional terms and conditions (to be provided in advertising/announcing such activity).

Restrictions on Rewards:
Without limitation, a Reward:
- cannot be redeemed for cash or credit;
- is not transferable;
- Bonus points are offered in the form of generated discount code. Please copy the discount code and paste it to the “Gift card or discount code” field at checkout page to apply it.
- is good only for the Member receiving the Reward from KEMIMOTO
- must be used by Member in their country of residence as per zip code/postal code reflected in Member’s online KEMIMOTO Membership account (if not provided by Member, the country in which such Member last made a KEMIMOTO purchase as per KEMIMOTO’s records; any determination of a Member’s country of residence by KEMIMOTO is final and binding);
- if merchandise obtained via redemption of Reward is later returned by Member, corresponding KEMIMOTO Membership Points converted into Reward (as well as the value of the Reward itself) will NOT be returned to Member;
- will be replaced if lost or stolen only upon Member’s provision of valid identification to KEMIMOTO’s satisfaction.
7.KEMIMOTO’s Right To Modify
KEMIMOTO reserves the right to change the Program (and these Terms, as applicable) at any time in its sole discretion. Such changes may include, by way of example only, the following:
- The number of KEMIMOTO Membership Points earned for making a merchandise purchase;
- Limiting the availability of earning KEMIMOTO Membership Points to the purchase of specific merchandise items (or, conversely, allowing KEMIMOTO Membership Points to be earned on the purchase of gift cards and/or services from KEMIMOTO);
- Adding or restricting the type of non-purchase activities which will result in earning KEMIMOTO Membership Points (as per Paragraph 6 above);
- Modifying the conditions on existing non-purchase activities which will result in earning KEMIMOTO Membership Points;
- Adjusting (upwards or downwards) the number of KEMIMOTO Membership Points which will result in the issuance of a Reward;
- Modifying Rewards, including the conditions on redeeming same;
- Modifying Benefits which are available; and · Modifying the procedure for becoming a Member.
In addition to the foregoing, KEMIMOTO reserves the right to cancel the Program altogether. In such event, KEMIMOTO Membership Points in the Member’s online KEMIMOTO Membership account as of the date of cancellation will be automatically converted to Rewards (as per Paragraph 6 above) with Reward(s) being issued to the Member via e-mail.KEMIMOTO will try to provide reasonable notice via the Website and posting at KEMIMOTO Stores (and/or via e-mail notification to each Member, in KEMIMOTO’s sole discretion) in advance of such changes (or Program cancellation, as the case may be) taking effect. Such notice will explain the change (or Program cancellation, as the case may be) and when it takes effect. To the extent that such change affects these Terms (as well as Program cancellation), these Terms will be modified accordingly with the change and its effective date being highlighted herein. However, due to an event beyond the reasonable control of KEMIMOTO (that is, a force majeure event, such as a riot, civil commotion, governmental action, natural disaster, pandemic/epidemic, materials shortage, act of fraud), KEMIMOTO reserves the right to have such changes take effect immediately, without liability of any kind under any legal theory.
Your continued Membership in the Program constitutes your agreement to such changes to the Program (or the cancellation of the Program, as the case may be). You are strongly advised to review these Terms from time to time to make sure that you are fully aware of the current conditions governing operation of the Program.
8. Privacy & E-Mail Notifications
Your participation in the Promotion is subject to KEMIMOTO’s Privacy Policy, which may be found at https://www.kemimoto.com/pages/privacy-policy. Before joining/participating in the Program, you are strongly encouraged to review KEMIMOTO’s Privacy Policy so that you understand how KEMIMOTO will collect, use and share your personal information in conjunction with offering the Program.
The conditions of KEMIMOTO’s Privacy Policy are made a part of these Terms and incorporated herein by reference. In the event of any inconsistency between these Terms and KEMIMOTO’s Privacy Policy, KEMIMOTO’s Privacy Policy will prevail, govern and control.
In joining the Program, you agree to receive e-mail messages from KEMIMOTO from time to time relating to your participation in the Program; for example, notices of Program modifications as per Paragraph 7 above. You will receive e-mails relating to your participation in the Program from KEMIMOTO unless you decide to cancel your Membership as per Paragraph 10 below. (In the U.S., such messages are commonly referred as “transactional e-mails.”)
KEMIMOTO may also send you promotional e-mails with updates, offers and other information regarding KEMIMOTO (but NOT the Program.) You may unsubscribe from receipt of promotional e-mails without affecting your participation in the Program.
(KEMIMOTO will try to distinguish e-mail messages relating to your participation in the Program [in the U.S., transactional e-mails] from promotional e-mails; if you’re in doubt as to the type of e-mail you have received, call KEMIMOTO Customer Service toll-free at +1 (323) 530-9679. You may also use the Members-only Customer Service telephone number accessible in your member dashboard, in your online KEMIMOTO Membership account.)
9.Prohibited Conduct
Any conduct determined by KEMIMOTO, in its sole discretion, to be in violation of these Terms will result in KEMIMOTO withholding KEMIMOTO Membership Points, Rewards and/or other Benefits available under this Program.
If such conduct is repeated, blatant or egregious (again as determined by KEMIMOTO in its sole discretion), such individual’s Membership will be terminated (with all KEMIMOTO Membership Points , unused and/or unissued Rewards and Benefits being forfeited without liability to KEMIMOTO). By way of example only, the following actions constitute violative conduct:
- Any false or misleading statement/misrepresentation as to making a merchandise purchase or engaging in any point-earning activity;
- Any false statement or misrepresentation in conjunction with the attempted redemption of Rewards (including proof of KEMIMOTO Membership Program membership provided at time of attempted redemption);
- Any other act of fraud perpetrated on KEMIMOTO as to Program participation;
- The attempted acquisition or redemption of KEMIMOTO Membership Points other than as set forth in these Terms (including the attempted transfer of KEMIMOTO Membership Points).
Withholding of KEMIMOTO Membership Points, Rewards and/or Benefits and termination of an individual’s Membership shall not represent the exclusive remedies available to KEMIMOTO; and, as such, KEMIMOTO may seek civil and/or criminal prosecution of individuals believed to be engaged in such violative conduct.
KEMIMOTO expressly disclaims any responsibility to notify or warn a Member that he/she/they has engaged in violative conduct prior to pursuing any of the above remedies.
10.Cancellation
To cancel your Membership, call KEMIMOTO Customer Service toll-free at the applicable phone number: +1 (323) 530-9679 or sales2@kemimoto.com[E-mail]; Cancellation of Membership will result in forfeiture of KEMIMOTO Membership Points and unused and/or unissued Rewards and Benefits without liability of any kind to KEMIMOTO under any legal theory.
11.General
Points
Award of KEMIMOTO Membership Points is subject to KEMIMOTO’s determination in its sole discretion that the Member has made the corresponding merchandise purchase or engaged in the corresponding activity in accordance with all applicable restrictions. Should KEMIMOTO determine in its sole discretion that the Member has not done so, KEMIMOTO may reduce the number of KEMIMOTO Membership Points (or withhold KEMIMOTO Membership Points altogether) from such Member.
KEMIMOTO Membership Points are intended solely to track a Member’s participation in the Program. Members do not have any property or ownership rights in KEMIMOTO Membership Points.
KEMIMOTO Membership Points cannot be redeemed for cash and cannot be transferred to another Member. Any attempt to sell (by auction or otherwise), trade or exchange KEMIMOTO Membership Points is void and in no way binding upon KEMIMOTO as well as constituting prohibited conduct as per Paragraph 9 above.
KEMIMOTO reserves the right to review Program activity (including KEMIMOTO Membership Points earned) in your online KEMIMOTO Membership account and make adjustments to correct errors without prior notice to you or liability of any kind. You will be notified via e-mail (or message posted to your online KEMIMOTO Membership account) if KEMIMOTO has taken any such action. Such notice will briefly explain the change(s) made to your online KEMIMOTO Membership account.
No Representation or Warranty by KEMIMOTO
KEMIMOTO makes no representation, guarantee, or warranty of any kind regarding the Program, including the warranty or merchantability or the warranty of fitness for the intended purpose. The preceding excludes those warranties to which KEMIMOTO is subject pursuant to applicable law.
Miscellaneous
The Program is void where prohibited by law.
The failure of KEMIMOTO to enforce any condition of these Terms in any circumstance shall not constitute the waiver of such condition. KEMIMOTO shall not be bound by any interpretation of any similar condition of legacy programs in the application of these Terms.
