OFFICAL RULES NO PURCHASE NECESSARY TO ENTER OR WIN

GENERAL: In these Official Rules, "you" or "your" or “entrant” means the person who has entered this Sweepstakes. By entering in this Sweepstakes, you agree to be bound by: (i) the terms and conditions contained in these Official Rules; and (ii) any and all decisions of Sponsor in all matters relating to this Sweepstakes. Sponsor reserves the right in its sole discretion to permanently disqualify any entrant it believes has violated these Official Rules. This Sweepstakes is governed by U.S. law and subject to all applicable federal, state and local laws and regulations.

SWEEPSTAKES ENTRY PERIOD: Valid from August 14 to September 30 (PDT).

HOW TO ENTER: To participate in this sweepstakes, please enter your email to subscribe and you will be entered into the sweepstakes. No purchase necessary. The odds of winning depend on the total number of qualifying entrants. Only one entry may be submitted per person by the Deadline, regardless of the method of entry. All additional entries submitted by a single entrant are void. In the event of a dispute concerning entries submitted by multiple individuals using the same account, the entry will be deemed to have been submitted by the authorized subscriber of the account used to enter the Sweepstakes.

PRIZES: A product valued at $250!

DETERMINATION OF WINNERS: The random selection will occur on or about five business days after the Deadline under the supervision of the Sponsor whose decisions are final and binding in all matters pertaining to this Sweepstakes. The Prize Winner will be notified by email and must reply to the notification within seven days, or the Grand Prize will be forfeited and an alternate winner will be selected. Sponsor is not responsible for any changes to a Prize Winner’s account or other information which may interfere with winner notification. To qualify for the Grand Prize, a Prize Winner must provide their mailing address to receive the prize (no P.O. boxes) and may be required to sign an Affidavit of Eligibility, Consent to Publicity, Liability Waiver, and federal and state tax release, all of which must be executed and returned within seven days of the issuance of notification or such other date set forth in the notification by Sponsor. Failure to comply with all instructions in a prize notification may result in disqualification of the entry and the selection of an alternate Prize Winner.

PRIZE TERMS: Sponsor will strive to deliver the Grand Prize within thirty (30) days. The Sponsor will pay shipping and handling costs to deliver the Grand Prize to the address of the Prize Winner included on the entry form. Any federal, state, and local taxes and any duties on the Grand Prize are the sole responsibility of the Prize Winner. The Grand Prize is awarded “as is” with no warranty or guarantee, either express or implied. The Grand Prize is non-transferable. The Prize Winner will not be permitted to substitute the Grand Prize, and the Grand Prize is not redeemable for cash. If the Grand Prize or any portion thereof is unavailable, Sponsor reserves the sole right to substitute a prize of equal or greater value.

CONDITIONS OF ENTRY: An eligible entrant must enter by completing the entry procedures as described in these Official Rules. All entries submitted that are not in compliance with these Official Rules are void. Incomplete entries are void, including any inappropriate, incomplete or duplicative entries. Any entrant that provides materially false information shall be disqualified. By entering, entrants accept and agree to these Official Rules, including all eligibility requirements. By including any information on the entry form, you represent that you have the full legal right to provide such information and that use of the information by Sponsor Affiliates will not (a) infringe any intellectual property rights of any person or entity or any rights of publicity, personality, or privacy of any person or entity; (b) violate any law, statute, ordinance, or regulation; or (c) constitute disclosure of any confidential information owned by any third party.

By entering this Sweepstakes, you hereby certify that you have complied with all the rules of this Sweepstakes and that you have committed no fraud or deception in entering this Sweepstakes or in claiming any Prize.

BY ENTERING THE SWEEPSTAKES OR ACCEPTING ANY PRIZE, EACH ENTRANT AGREES TO BE BOUND BY THESE OFFICIAL RULES AND AGREES THAT SPONSOR AND ITS AFFILIATES, PARENTS, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AND AGENTS, AND ALL OTHER ASSOCIATED WITH THE DEVELOPMENT AND EXECUTION OF THE SWEEPSTAKES (COLLECTIVELY, “SPONSOR PARTIES”) WILL HAVE NO LIABILITY WHATSOEVER FOR, AND WILL BE HELD HARMLESS BY, THE ENTRANT FOR ANY LIABILITY FOR ANY INJURY, LOSS, OR DAMAGE OF ANY KIND TO PERSONS, INCLUDING DEATH, AND PROPERTY, DUE IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THE ACCEPTANCE, POSSESSION, USE, OR MISUSE OF THE GRAND PRIZE OR PARTICIPATION IN THIS SWEEPSTAKES OR ANY PRIZE RELATED ACTIVITY. SPONSOR PARTIES DISCLAIM ALL WARRANTIES AND THE SELECTED PRIZE WINNER WAIVES ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. EACH ENTRANT AGREES TO RELEASE, INDEMNIFY AND HOLD THE SPONSOR PARTIES HARMLESS FROM AND AGAINST ANY CLAIMS OF LIABILITY, LOSS OR DAMAGE, JUDGMENTS, COSTS AND EXPENSES (INCLUDING REASONABLE ATTORNEY’S FEES AND ATTORNEY’S DISBURSEMENTS) ARISING OUT OF OR INCURRED IN CONNECTION WITH THEIR PARTICIPATION IN THIS SWEEPSTAKES OR THE ACCEPTANCE OR USE/MISUSE OF ANY PRIZE AWARDED BY SPONSOR.

THE SPONSOR PARTIES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OF ANY KIND WHATSOEVER, INCLUDING LOST REVENUES OR LOST PROFITS, WHICH MAY OR DOES RESULT FROM THE ACCEPTANCE, POSSESSION, USE, OR MISUSE OF THE GRAND PRIZE OR PARTICIPATION IN THIS SWEEPSTAKES OR ANY PRIZE RELATED ACTIVITY, REGARDLESS OF LEGAL THEORY, EVEN IF THE REMEDIES OTHERWISE AVAILABLE FAIL OF THEIR ESSENTIAL PURPOSE. UNDER NO CIRCUMSTANCES WILL THE TOTAL LIABILITY OF THE SPONSOR PARTIES IN CONNECTION WITH, BASED UPON, OR ARISING FROM THE ACCEPTANCE, POSSESSION, USE, OR MISUSE OF THE PRIZE OR PARTICIPATION IN THIS SWEEPSTAKES OR ANY PRIZE RELATED ACTIVITY EXCEED THE AMOUNT OF THE GRAND PRIZE.

SOCIAL MEDIA PROMOTION: Although the Sweepstakes may be featured on Instagram or any other social media platforms, the Sweepstakes is in no way sponsored, endorsed, administered by, or association with Instagram or any other social media platform and you agree that Instagram and any other social media platform are not liable in any way for any claims, damages or losses associated with the Sweepstakes.

PUBLICITY: Prize Winner expressly consents to the use by Sponsor and the Sponsor Parties (without further permission or financial compensation) of his or her name and/or likeness, in any medium (including without limitation digital or hard copy), for publicity purposes in connection with the Sweepstakes, for marketing and advertising purposes or for any other purpose that is not prohibited by law. By entering the Sweepstakes, you understand that Sponsor, Sponsor Parties, anyone acting on its or their behalf, or its or their respective licensees, successors and assigns will have the right, where permitted by law, without any further notice, review or consent to print, publish, broadcast, distribute, and use, worldwide in any media now known or hereafter in perpetuity and throughout the world, your entry, including, without limitation, the entry and winner's name, portrait, picture, voice, likeness, image or statements about the Sweepstakes, and biographical information as news, publicity or information and for trade, advertising, public relations and promotional purposes without any further compensation.

MISCELLANEOUS: Sponsor Parties are not responsible or liable for any events beyond their control, which may cause this Sweepstakes to be stopped, including any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries, nor are they responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any entry to be received by Sponsor on account of technical problems, human error, filtering or traffic congestion on the internet or at any web site, insufficient space in an entrant’s account to receive messages or any combination thereof, including any injury or damage to entrant’s or any other person’s computer relating to or resulting from participation in this giveaway or downloading any materials in this Sweepstakes. If, for any reason, this Sweepstakes is not capable of being conducted as planned, including due to tampering, unauthorized intervention, typographical errors, technical failures, fraud, low participation, or any other causes beyond the reasonable control of Sponsor Parties that corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Sponsor Parties reserve the right at their sole discretion to cancel, terminate, modify, or suspend this Sweepstakes. Sponsor Parties reserve the right in their sole discretion to disqualify any individual found to be tampering with the entry process or the operation of this Sweepstakes or to be acting in violation of these Official Rules or any other promotion, or in an unsportsmanlike or disruptive manner. When used herein, the words “includes” and “including” and their syntactical variations shall be deemed followed by the words “without limitation.” ANY ACT OR ATTEMPT TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ACT OR ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ACT OR ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

CHOICE OF LAW AND JURISDICTION: All applicable federal, state, provincial and local laws and regulations apply. This Sweepstakes and all matters, issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of entrants, Prize Winners, and Sponsor in connection with this Sweepstakes, shall be governed by, and construed in accordance with, the laws of the Commonwealth of Pennsylvania of the United States, without giving effect to any choice of law or conflict of law rules or provisions (whether of Commonwealth of Pennsylvania or any other jurisdiction), which might otherwise cause the application of the laws of any jurisdiction other than the Commonwealth of Pennsylvania. You agree that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with this Sweepstakes, shall be resolved individually, without resort to any form of class action, exclusively by arbitration in a location selected solely by Sponsor.
